Incentivize2Learn Terms of Use

These Terms of Use ("Terms") govern access to Incentivize2Learn ("I2L"), a product of Kipuka Capital, LLC ("Kipuka," "we," "us," or "our"). I2L includes the public website, authenticated web application, native learner apps, and related services, communications, content, and support (together, the "Services").

By accessing or using the Services, you agree to these Terms. If you use I2L through a district or another organization, you must also follow that organization's policies. If a written agreement between Kipuka and your organization conflicts with these Terms, that written agreement controls for the organization and its authorized users.

1. The Service and This Agreement

I2L helps authorized district staff receive, complete, verify, certify, report, and, when enabled, receive recognition for professional learning. Administrative tools are available only to users with the appropriate district, school, or I2L role. Native learner apps do not provide district-administration features.

The public website may be browsed without an account. Authenticated features require a district- or organization-issued account. We may update these Terms as described in Section 11.

2. Eligibility and Accounts

I2L is a workplace professional-learning service for authorized district and organization staff. It is not directed to children under 13. You may use an authenticated account only if your organization has authorized your access and you can legally agree to these Terms or use the Services under an authorized organization's direction.

Accounts are generally created from an organization roster and activated through an email invitation. You are responsible for protecting your email/password credentials, device access, and account sessions. Do not share credentials or allow another person to complete learning under your identity. Notify your district administrator or I2L promptly if you believe an account is no longer secure.

Name, email, role, school, and district information are controlled through the organization roster. You can review those details and change your password in Account, but roster corrections must be made by an authorized administrator.

3. Your Organization

Your district or organization decides who receives access, which content is available, what learning is Required or Recommended, applicable due dates, administrator permissions, and whether its I2L program includes rewards. Authorized administrators can view and manage information only within their permitted district or school scope.

Your organization may impose additional professional-learning, employment, records, or acceptable-use requirements. I2L does not replace those requirements, and questions about roster details or assigned learning should normally begin with your district administrator.

4. Learning Records and Certificates

I2L may record assignments, progress, watch activity, quiz or assessment responses, completions, credited professional- development hours, administrator approvals, and certificates. Completion requirements can include watch thresholds, quizzes, required evidence, or administrator approval. Previewing content does not necessarily earn credit.

A completed activity can earn credited hours. A certificate is issued when the applicable course and certificate rules are satisfied; not every individual activity creates a certificate. Certificates are available as authenticated downloadable records. Your organization or licensing authority determines whether an I2L completion, hour, or certificate satisfies a particular employment, licensure, or compliance requirement.

5. Eligible Rewards

Rewards are visible only when I2L has enabled them for an organization's program. Eligibility can require completion of all current Required learning and a minimum number of credited hours during the applicable contract period. The Services show the current eligibility and claim status available for your account.

A claimable reward may be fulfilled as a gift card through a third-party reward provider such as Tremendous. Provider terms, available brands, delivery methods, expiration rules, and redemption restrictions may apply. Rewards are not cash accounts, cannot be transferred between users through I2L, and are not available in every district. Contact I2L support about a failed or incomplete claim so we can investigate with the provider.

6. Content and Intellectual Property

The Services include software, designs, text, graphics, video, audio, documents, course structures, trademarks, and other materials owned or licensed by Kipuka, Educational Impact, customer organizations, or other providers ("Service Content"). Subject to these Terms and any organization agreement, we grant you a limited, non-exclusive, non-transferable right to use Service Content for authorized professional learning and administration.

You may not copy, sell, distribute, publicly display, scrape, reverse engineer, bypass access controls for, or create derivative works from Service Content unless the owner or applicable law permits it. Downloadable materials may have additional terms. All rights not expressly granted are reserved by their owners.

7. User Content

You may submit quiz answers, reflections, assessment responses, feedback, support messages, or organization-provided learning materials ("User Content"). You retain any rights you hold in User Content. You grant Kipuka a limited license to host, process, reproduce, and display it only as needed to operate, secure, support, and improve the Services and meet our obligations to your organization.

You must have the right to submit User Content. Do not submit unlawful, infringing, abusive, malicious, or unnecessarily sensitive information. I2L learning responses are private authenticated records; the Services are not a public publishing or social-messaging platform.

8. Acceptable Use

You may not:

  • Use the Services for unlawful, fraudulent, abusive, or unauthorized purposes
  • Access another person's account or data, share credentials, or misrepresent who completed learning
  • Probe, scan, disrupt, overload, reverse engineer, or bypass the security or completion controls of the Services
  • Use automated extraction, scraping, or data-mining tools except with our written authorization
  • Upload malware or content that infringes another person's rights
  • Use information from the Services to harass, discriminate against, or harm another person

We may investigate suspected misuse and cooperate with an organization or lawful authority when appropriate.

9. Third-Party Services

I2L may use or link to third-party content, infrastructure, app stores, notification services, email delivery, Educational Impact content, reward fulfillment, and external district materials. Third-party services may have separate terms and privacy policies. We are not responsible for third-party websites or services outside our control, but we remain responsible for our own obligations under applicable agreements and law.

10. Privacy

Our Privacy Policy explains the information the Services handle and how to request account or data help. Your organization may provide an additional privacy or employee notice. Do not use the Services if you do not agree to the applicable information-handling terms.

11. Availability and Changes

We may maintain, update, add, remove, or change parts of the Services. We try to keep I2L available and reliable, but planned maintenance, third-party failures, security needs, or events outside our control may interrupt access. We may update these Terms by publishing a revised version and changing the date above. We will use reasonable methods to notify affected users or organizations when a material change requires notice.

12. Suspension and Termination

Kipuka or your organization may suspend or deactivate an account when access is no longer authorized, an account creates a security risk, or these Terms or an organization policy are violated. You may stop using I2L at any time. Because accounts and learning records are organization-issued, users cannot independently delete roster identity or completion records from the Account page.

Contact your district administrator to correct roster information or deactivate an account. Use theaccount and data request instructions for privacy or deletion requests. Contractual, district, security, and legal retention requirements may continue to apply after access ends.

13. Disclaimers and Liability

Service disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." KIPUKA AND ITS LICENSORS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free operation, that any specific content will remain available, or that a completion record will satisfy a requirement set by an employer, licensing body, or other authority. Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIPUKA AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM THE SERVICES.

For a claim not governed by an organization agreement, Kipuka's total liability will not exceed the greater of the amount you personally paid for the Services during the twelve months before the claim or five U.S. dollars. These limits apply only where permitted by law and do not limit obligations or remedies that cannot lawfully be limited.

14. Disputes

Before starting a formal dispute, contact us and give us a reasonable opportunity to resolve the concern. Unless a written organization agreement states otherwise, these Terms are governed by Utah law without regard to conflict-of-law rules.

TO THE EXTENT PERMITTED BY LAW, A DISPUTE ARISING FROM THESE TERMS OR THE SERVICES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION, NOT BY A JURY TRIAL OR CLASS ACTION.

Either party may bring an eligible individual claim in small-claims court, seek emergency injunctive relief, pursue an available government-agency process, or bring a court action concerning intellectual-property rights. Any arbitration and class-action provision must be applied consistently with applicable law and any controlling organization agreement.

15. General Terms

If a provision of these Terms is unenforceable, it will be limited to the minimum extent necessary and the remaining terms will continue. A failure to enforce a provision is not a waiver. You may not assign your account or these Terms without our permission. We may assign these Terms as part of a reorganization, financing, merger, acquisition, or transfer of the Services.
